1. INTRODUCTION

These Terms of Service (the “Terms”) govern your access to and use of our mobile application and websites (collectively, the “Services”). “Mumi,” “we,” “us,” and “our” mean Mumi Co., a California corporation. “You” and “your” mean the individual who creates an account (“Account”) to use or access the Services. By visiting, using, or submitting content through the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional rules, policies, or terms referenced by these Terms or posted in the Services (collectively, the “Agreements”). If there is a conflict between these Terms and other terms, these Terms control.

2. NO MEDICAL ADVICE

If you are experiencing a medical or mental-health emergency, call your local emergency number or go to the nearest emergency department immediately. Do not rely on the Services in an emergency.

The Services do not constitute medical advice or the practice of medicine, psychology, psychotherapy, or any licensed profession. They are for informational and wellness purposes only and are not a substitute for professional diagnosis or treatment. Your use of the Services does not create a therapist-patient relationship with Mumi or any affiliated party. Always seek the advice of licensed professionals with any questions you may have regarding your mental health.

3. SERVICES OVERVIEW

[Wellness Partner] & [Wellness Sessions]

The Services provide access to a text- and voice-based AI conversational agent (the “[Wellness Partner]”) offering general wellbeing, self-help, and mental-health support resources. We may make time-limited packages available for purchase or booking (“[Wellness Sessions]”). New sessions may require additional purchases. Durations, pricing, and availability may change.

Subscription Content

We may offer curated audio programs, meditations, and podcasts (“Subscription Content”). Some items are free; others require a paid subscription. By purchasing, you agree to the pricing and terms presented at checkout.

Challenges

From time to time we may offer time-boxed programs (“Challenges”) to support your goals. These may be one-time, non-renewing purchases. Repeating a Challenge may require repurchase.

4. AGE POLICY & ACCEPTANCE

The Services are not intended for individuals under 18. If we learn that a user under 18 has created an Account, we will revoke access and delete personal information. By using the Services you represent that you are legally capable of entering these Terms and that no law prohibits you from doing so.

By clicking “I agree,” creating an Account, or using the Services, you accept the Agreements. We may suspend or terminate access for violations.

5. YOUR ACCOUNT & INFORMATION

Registration

You must register an Account, typically using your email, or via third-party identity providers such as Google or Apple (“Third-Party Information Providers”). Your relationship with any such provider is governed solely by your agreement with that provider.

Accuracy; Security

You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activities that occur under your Account. Notify us promptly of unauthorized use.

Sharing with Partners

We may share Account information with partners for eligibility, compliance, risk, fraud prevention, and as otherwise described in our Privacy Policy.

6. USER CONTENT & PROHIBITED CONTENT

You are solely responsible for content you submit through the Services (“User Content”). You represent that you have all rights and permissions to grant the license below. You grant Mumi a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license (with the right to sublicense) to use, display, reproduce, adapt, modify, distribute, license, publicly perform, transmit, and otherwise exploit your User Content in any media to operate, improve, and promote the Services. Where User Content contains personal data, we disclose it only as set out in the Privacy Policy. De-identified/aggregated data is not User Content and is owned by Mumi.

Do not post content that infringes IP rights; violates privacy; involves hate speech, harassment, threats, pornography, defamation, gratuitous violence, spam, fraud, or medical misinformation; promotes self-harm, exploitation of minors, or illegal activity; or otherwise violates law or these Terms.

7. AI FEATURES — TRANSPARENCY & LIMITS

You are interacting with an AI system, not a human. AI outputs may be inaccurate or inappropriate for your situation. AI features are informational and wellness-oriented only and are not professional advice. A human review option is available where required by law. By using AI features you consent to processing of your inputs as described in the Privacy Policy.

8. ACCEPTABLE USE

Use the Services only for their intended purpose. Prohibited activities include unauthorized access; probing/scanning systems; interfering with the Services; uploading malware; header spoofing; reverse engineering; commercially exploiting without authorization; building competing services; identity spoofing; scraping personal data; removing proprietary notices; or any unlawful activity.

9. OWNERSHIP; TRADEMARKS; FEEDBACK

The Services, software, and all Mumi content are owned by Mumi or its licensors and protected by IP laws. Subject to your compliance and payment of applicable fees, we grant you a limited, revocable, non-transferable, non-sublicensable, non-exclusive license to use the Services for their intended purpose. “Mumi” names and logos are trademarks of Mumi. Feedback you provide may be used without obligation to you. We may analyze and publish aggregated, anonymized usage data.

10. THIRD-PARTY SERVICES

The Services may integrate or link to third-party services that Mumi does not control. We do not endorse and are not responsible for their content or practices. California Civil Code §1542 Waiver: “A general release does not extend to claims that the creditor does not know or suspect to exist in his or her favor at the time of executing the release … .” A similar waiver applies to the extent permitted by other laws.

11. UPDATES TO THE SERVICES

We may provide patches, bug fixes, updates, upgrades, and other changes (“Updates”) that may be automatically installed. Without Updates, the Services may not function. Continued use constitutes acceptance of any related terms.

12. FEES, TAXES & PAYMENT

You agree to pay all fees we charge for access to paid features. Unless stated otherwise, fees are exclusive of taxes and are charged in USD. By submitting a payment method you authorize Mumi and its processors to store and charge it for purchases. Keep your payment information current. Disputes must be raised within seven (7) days of the charge.

13. INFORMATION WE PROVIDE

Information furnished via the Services (including within [Wellness Sessions], Subscription Content, and Challenges) is for informational purposes only and is not professional, medical, or legal advice. Always consult licensed professionals regarding health decisions.

14. INFORMATION YOU PROVIDE

You may provide information about yourself or permit third parties to provide it to us. By providing information you grant the rights described in these Terms and our Privacy Policy. If you do not agree to updates to the Privacy Policy, discontinue use of the affected features. The Services are not a data backup service.

15. RESPECTING OTHERS’ RIGHTS

Respect intellectual-property and privacy rights of others. You are solely responsible for violations. We may suspend or terminate access for violations.

16. TERMINATION

You may stop using the Services at any time and delete your Account via in-app settings. We may restrict or terminate access if necessary (e.g., legal/compliance risks, abuse, violations of these Terms or our Privacy Policy). After termination you must cease use. Obligations that by their nature survive (e.g., payment, limitations of liability, indemnities) will survive.

17. ASSUMPTION OF RISK

Your use of the Services is entirely at your own risk, including the risk that information may be inaccurate or inappropriate for your circumstances.

18. DISCLAIMERS — “AS IS”

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Mumi disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, error-free/virus-free operation, and accuracy or completeness of information. Access, download, and use are at your own risk.

19. AI LIABILITY NOTICE

AI-generated outputs may be inaccurate, incomplete, harmful, or biased. Do not rely on AI outputs for medical, legal, or safety-critical decisions. No warranties are made regarding AI outputs.

20. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Mumi will not be liable for any indirect, incidental, special, consequential, punitive damages, loss of profits, or data, arising out of or related to the Services. In all cases, Mumi’s total liability will not exceed USD 100.00. Some jurisdictions do not allow certain limitations; those limitations apply to the maximum extent permitted.

21. INDEMNIFICATION

You agree to indemnify and hold harmless Mumi and its affiliates from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your conduct, User Content, information, or use of the Services.

22. DISPUTE RESOLUTION; CLASS-ACTION WAIVER

Binding Arbitration. Before filing, the parties will attempt informal resolution by emailing support@mumiworld.com. If unresolved, the parties will mediate with JAMS in San Francisco, California, and if still unresolved, disputes will be settled by binding arbitration administered by JAMS in San Francisco. Either party may seek injunctive relief without prior steps. The prevailing party is entitled to reasonable fees and costs. Arbitration is confidential. Class/representative actions are waived. To the extent litigation is permitted, the state and federal courts located in San Francisco, California, have exclusive jurisdiction. Jury trial is waived to the extent permitted by law.

23. APPLE APP STORE TERMS

If you access the iOS App via Apple’s App Store: these Terms are between you and Mumi, not Apple; Apple is not responsible for the App; license is limited, non-exclusive, non-transferable, non-sublicensable for personal, non-commercial use; Apple has no support obligations; Mumi is responsible for product claims and IP claims; you represent that you are not in a sanctioned country nor on a denied-party list; Apple and its subsidiaries are third-party beneficiaries entitled to enforce these Terms.

24. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the State of California, without regard to its conflicts-of-law rules.

25. SEVERABILITY; WAIVER; ASSIGNMENT

If any provision is found unenforceable, the remainder remains in effect. Failure to enforce is not a waiver unless in a written signed notice. We may assign, sublicense, or pledge the Agreements in whole or in part without prior notice on terms no less favorable to you. You may not assign or transfer your rights or obligations without our consent.

26. CHANGES TO THESE TERMS

We may modify these Terms from time to time. Changes take effect on the “Effective Date” above. Your continued use after changes means you accept them. We may modify or discontinue the Services, restrict or terminate access, move or remove content, or refuse access in our sole discretion.

28. RELATIONSHIP OF THE PARTIES

These Terms constitute the entire agreement between you and Mumi regarding the Services and supersede all prior agreements or understandings, written or oral.
